1. Agreement to Terms

PartGenie (“PartGenie”, “we”, “us”, or “our”) is a product and service operated by AuraLoom LLC, a United States limited liability company. Welcome to partgenie.ai (“Platform”). By accessing or using partgenie.ai (“Platform”), you (“User”) agree to these Terms of Service (“ToS”). If you're using the Platform on behalf of an organization, you represent that you have authority to bind that entity.

2. Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction) and have the legal capacity to contract.

3. Services

PartGenie.ai offers AI-powered tools and analytics tailored for the electronics industry, including component sourcing, specification generation, design assistance, and processing of design files, images, BOMs, schematics, and related content (“Services”).

4. User Conduct

You agree not to:

● Violate applicable laws or infringe on third-party rights;

● Reverse-engineer or circumvent Platform security measures;

● Submit harmful, malicious, or unlawful data.

5. Intellectual Property & User Content

● Your Ownership: You retain ownership of all content you upload (e.g., design files, images, BOMs).

● License to Us: By uploading content, you grant PartGenie.ai a worldwide, royalty-free license to use it solely for providing and improving the Services.

● Training Opt-In Only: We will not use your uploads for AI model training unless you explicitly consent—reflecting best practices similar to enterprise privacy protocols like those in ChatGPT Enterprise.

6. Privacy & Data Protection

Your use of the Platform is also governed by our Privacy Policy, which details your data rights under GDPR (for EU users) and CCPA (for California, USA). The Privacy Policy also explains how we handle sensitive uploads such as design files, images, and BOMs.

7. Disclaimers & Limitation of Liability

The Services are provided “as is.” To the fullest extent permitted by law, PartGenie.ai disclaims all implied warranties (e.g., merchantability, fitness) and limits its liability to the greater of $100 or the amount you paid in the past 12 months.

8. Termination

We may suspend or terminate your access for breach of the ToS. You may terminate your account at any time. Post-termination obligations such as confidentiality, liability limitations, and IP rights will survive.

9. Governing Law & Dispute Resolution

EU Users

● These ToS and any disputes will be governed by the laws of your EU country of residence (e.g., Germany, France), and disputes will be resolved in that country's courts.

US Users

● Governing Law: The laws of the State of Wyoming govern this Agreement. Venue for any litigation will lie in Laramie County, Wyoming, unless otherwise agreed.

● Arbitration: Any disputes will be resolved through binding arbitration under the Wyoming Arbitration Act (2024). Note that under Wyoming law, arbitration agreements are enforceable only when entered into voluntarily, and arbitrators may issue subpoenas, administer oaths, and oversee depositions as needed.

10. Modifications to Terms

We may modify these ToS at any time. Changes are effective upon posting. Where changes are substantial, we will notify you, and your continued use signifies acceptance.

11. Entire Agreement

These ToS, along with the Privacy Policy, constitute the entire agreement between you and PartGenie.ai, superseding any prior agreements.
